Version 2026-10-29
Terms of Service
1. Parties and Acceptance
These Terms of Service (“Terms”) govern access to and use of SCEdu, a school management software platform intended primarily for secondary schools in Nigeria (“Service”).
The agreement is between SentinelCore Technologies, trading as SCEdu (“SCEdu”, “we”, “us” or “our”), and the school or other organisation accepting these Terms (“School”, “you” or “your”). The effective date is the date the School accepts these Terms or the date specified in an order form, whichever is applicable.
The person accepting these Terms on behalf of a School represents that they are authorised to bind that School. If the person lacks that authority, they must not accept on the School's behalf.
Individual students, parents, guardians and staff may also be subject to applicable account rules and school policies. These Terms do not replace the School's own obligations to those individuals.
2. The SCEdu Service
SCEdu may provide features such as:
- School, staff, student, parent and guardian account management.
- Admissions, class lists, attendance, examinations, results and academic reporting.
- Learning materials, assignments and school communications.
- Fee schedules, invoices, payment records and payment-status reporting.
- Online payment integrations and records received from payment providers.
- Offline payment submissions, receipt evidence and school-admin verification workflows.
- Administrative dashboards, audit logs and reports.
- Other features described in the applicable subscription or order form.
Features may vary by plan, configuration, availability and development stage. SCEdu will describe material plan limits and paid features in the relevant order form or published plan information.
3. School Account and Onboarding
The School must provide accurate information during onboarding and keep its account and authorised contact details reasonably current.
The School must:
- Designate authorised administrators and maintain appropriate access permissions.
- Protect credentials and promptly disable accounts for users who no longer need access.
- Ensure users use the Service only for authorised purposes.
- Notify SCEdu promptly of suspected account compromise or unauthorised access.
- Avoid sharing administrator accounts where individual accounts are available.
- Provide accurate student, parent, staff and financial data and correct errors it discovers.
SCEdu may reasonably request information necessary to verify the School's authority to use the Service, prevent fraud or meet legal obligations. Any identity or verification requirements will be handled in accordance with the applicable privacy notice and law.
4. School Responsibilities and Legal Compliance
The School is responsible for its educational and administrative decisions and for ensuring its use of SCEdu complies with applicable law, including the Nigeria Data Protection Act 2023 and applicable child-protection, education, employment, financial and recordkeeping requirements.
The School is responsible for:
- Establishing a lawful basis for collecting and using personal data.
- Providing required privacy notices to students, parents, guardians, staff and other individuals.
- Obtaining consent or parental/guardian authorisation when legally required.
- Ensuring personal data uploaded to SCEdu is relevant, accurate and not excessive.
- Defining who may access student, staff and financial records.
- Responding to data-subject requests for records the School controls, with reasonable assistance from SCEdu.
- Establishing suitable retention and deletion rules for School-controlled records.
- Reviewing any reports or automated outputs before relying on them for important decisions.
- Ensuring uploaded content does not infringe third-party rights or violate law.
The School must not use SCEdu to unlawfully discriminate, expose children to harm, publish confidential records without authority or conduct unlawful surveillance.
5. Student, Parent and Staff Accounts
The School is responsible for deciding which individuals should receive accounts and what access they should have, subject to SCEdu's available controls.
The School must promptly correct permissions and account details when a student's enrolment, parent/guardian authority, staff role or other relevant status changes.
Where the Service enables parent or guardian access, the School must take reasonable steps to ensure that access is granted to appropriately authorised individuals and is updated when legal authority changes.
Users must not impersonate another person, share credentials improperly, bypass access controls or attempt to access another school's data.
6. Fees, Subscription and Payment
The applicable subscription fees, billing cycle, taxes, payment terms, renewal arrangements and any usage limits will be set out in [pricing page/order form/subscription schedule].
Unless the applicable order form says otherwise:
- Fees are payable in the currency and by the method stated in the order form.
- The School is responsible for applicable taxes and charges, except taxes imposed on SCEdu's income.
- SCEdu will provide reasonable notice of material changes to recurring subscription fees before the affected renewal.
- Any trial, discount, refund or cancellation terms must be stated in the applicable plan or order form.
Where SCEdu integrates with a third-party payment provider, the provider's terms may also apply to payment processing. SCEdu is not a bank and does not represent that platform payment records are a live bank balance.
The School must verify payment information and reconcile records with its bank or payment provider. Payment status shown in SCEdu depends on the information received from the relevant provider or entered and verified by authorised users.
7. Offline Payments and Financial Records
Where offline-payment functionality is available, the School is responsible for reviewing and verifying cash or bank-transfer submissions in accordance with its internal controls.
Submitting a receipt or evidence of payment does not, by itself, establish that funds were received. The School must ensure that only authorised personnel verify payments and that verification is supported by appropriate evidence.
SCEdu provides tools to record and display information. Unless expressly agreed in writing, SCEdu does not independently guarantee that a School's underlying bank account has received a payment or that every user-entered financial record is accurate.
The School must promptly report suspected fraud, duplicate entries, unauthorised changes or material reconciliation errors.
8. Acceptable Use
The School and its users must not:
- Use the Service for unlawful activity or to infringe another person's rights.
- Upload malware or attempt to compromise the platform.
- Probe, scan or test vulnerabilities without written authorisation.
- Interfere with the Service, overload it or bypass usage restrictions.
- Attempt unauthorised access to another tenant's data or account.
- Reverse engineer or copy the Service except where applicable law expressly permits it.
- Sell, sublicense or commercially exploit access to the Service without written permission.
- Upload content they do not have the right to use.
- Use SCEdu to send unlawful, deceptive, abusive or unsolicited communications.
SCEdu may investigate credible reports of misuse and take proportionate action to protect users, data and the Service.
9. School Data, Ownership and Licence
As between SCEdu and the School, the School retains its rights in data and content it or its authorised users submit to the Service (“School Data”), subject to third-party rights and applicable law.
The School grants SCEdu a limited, non-exclusive licence to host, reproduce, transmit, organise, back up and otherwise process School Data only as necessary to provide, secure, support and improve the Service in accordance with these Terms, the applicable Data Processing Agreement and law.
The School confirms it has the rights and authority necessary to provide School Data for these purposes.
SCEdu retains all rights in the Service, its software, interface, branding, documentation, templates and underlying technology, excluding School Data and third-party materials. No ownership of SCEdu intellectual property transfers to the School.
SCEdu may use aggregated or anonymised information that does not identify an individual or School to analyse service performance and improve the Service, subject to applicable law and the Data Processing Agreement.
10. Privacy and Data Processing
The SCEdu Privacy Policy explains SCEdu's handling of personal data for activities where SCEdu determines the purposes and means of processing.
Where SCEdu processes personal data on the School's behalf, the parties' obligations are set out in the Data Processing Agreement (DPA), which is incorporated into these Terms where applicable.
If these Terms conflict with the DPA on personal data processing, the DPA controls for that subject matter. Nothing in these Terms removes rights or obligations that cannot lawfully be excluded.
11. Confidentiality
Each party must take reasonable steps to protect the other party's non-public information received through the Service and use it only for purposes connected with the relationship.
A receiving party may disclose confidential information to personnel and service providers who need it for those purposes and are subject to appropriate confidentiality obligations, or where disclosure is required by law. Where legally permitted, the receiving party will give prior notice of compelled disclosure.
Confidentiality obligations do not apply to information that the receiving party can demonstrate is public without breach, already lawfully known, independently developed or lawfully received without confidentiality restrictions.
12. Service Availability, Support and Changes
SCEdu will use reasonable efforts to maintain the Service and provide support through [support email/channel and support hours].
The Service may occasionally be unavailable because of maintenance, updates, connectivity issues, third-party outages, security events or circumstances outside SCEdu's reasonable control.
SCEdu may update or modify features to improve security, performance, compliance or usability. We will use reasonable efforts to communicate material changes that significantly reduce a paid feature. Any specific uptime commitment or service credit applies only if expressly stated in a signed service-level agreement.
The School remains responsible for maintaining appropriate internet access and compatible devices.
13. Third-Party Services
The Service may integrate with third-party hosting, payment, messaging, analytics or other services. Use of those services may be subject to separate terms and privacy notices.
SCEdu will remain responsible for obligations imposed on it by applicable law and its agreements. However, SCEdu does not control independent third-party systems and cannot guarantee their continuous availability or performance.
14. Suspension
SCEdu may suspend or restrict access to the extent reasonably necessary where:
- The School materially breaches these Terms.
- Use creates a credible security, legal or safety risk.
- Fees remain overdue after any applicable notice and cure period.
- Suspension is required by law or a competent authority.
- The School's account is reasonably suspected of fraud or compromise.
Where reasonably practicable and lawful, SCEdu will notify the School and allow an opportunity to remedy the issue before suspension. Immediate action may be taken where necessary to protect individuals, data, systems or legal compliance.
SCEdu will seek to limit suspension to the affected account or feature where reasonably practicable.
15. Term and Termination
These Terms begin when accepted and continue until the subscription or agreement ends.
The School may cancel or terminate its subscription according to [cancellation notice period and method]. SCEdu may terminate for material breach if the breach is not remedied within [30] days after written notice, or sooner where the breach cannot reasonably be remedied or immediate termination is required by law or to address a serious security or safety risk.
On termination, the School's access may end in accordance with the subscription terms. Data export, retention, return and deletion will be handled in accordance with the DPA, the applicable order form and legal requirements.
Termination does not remove accrued payment obligations or provisions intended to survive, including applicable confidentiality, intellectual-property, liability and dispute-resolution provisions.
16. Data Export and Deletion at Exit
During the subscription and for [number] days after termination, the School may request export of available School Data in the formats supported by SCEdu, subject to identity and authority verification and payment of any disclosed reasonable export fee.
After the applicable export period, SCEdu may delete or anonymise School Data according to the DPA and its retention schedule, except where retention is legally required or permitted.
The School should maintain its own appropriate records and backups. SCEdu will not intentionally use termination as a means of withholding School Data in violation of the DPA or applicable law.
17. Warranties and Disclaimers
Each party represents that it has authority to enter into these Terms.
SCEdu will provide the Service with reasonable care and skill. Except for express commitments in a signed order form or service-level agreement, the Service is provided on an “as available” basis to the extent permitted by law.
SCEdu does not warrant that the Service will be uninterrupted, error-free or suitable for every School-specific workflow. The School is responsible for reviewing records, verifying financial entries and making its own educational, disciplinary, admissions and administrative decisions.
Nothing in these Terms excludes a warranty, duty or liability that cannot lawfully be excluded.
18. Limitation of Liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of anticipated profits or loss of business opportunity arising from these Terms, except where such loss is not lawfully excludable.
Each party's aggregate liability arising from these Terms during a [12-month] period will not exceed [fees paid or payable in that period / another negotiated amount], except for liability that cannot lawfully be limited and any exclusions expressly agreed in the signed order form.
The parties should obtain legal advice before finalising this clause. It must not be used to exclude liability where prohibited by Nigerian law or to undermine statutory data protection rights.
19. Indemnity
Each party will be responsible for claims, losses and expenses to the extent caused by its own breach of these Terms, unlawful conduct, negligence or infringement of third-party rights, subject to applicable law and any agreed liability limits.
Any specific indemnity for third-party claims, data protection incidents or intellectual-property infringement should be negotiated and documented in the order form or a signed addendum.
20. Changes to These Terms
SCEdu may update these Terms to reflect changes in the Service, law or business operations. We will provide reasonable notice of material changes through the platform, email or another appropriate channel.
Where a change materially affects a paid subscription, the School may have the right to terminate before the change takes effect, as specified in the notice or order form. Changes requiring consent or a signed amendment will not take effect without the required step.
21. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
The parties will first attempt in good faith to resolve a dispute through written notice and discussions between authorised representatives. If the dispute is not resolved within [30] days, either party may pursue remedies before a court of competent jurisdiction in Nigeria, subject to any valid dispute-resolution agreement.
Nothing in this clause prevents a party from seeking urgent interim relief or exercising a statutory right.
22. General Provisions
These Terms, the applicable order form, the Privacy Policy and the DPA form the agreement between the parties concerning the Service, to the extent each document applies.
If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of future enforcement.
Neither party may assign these Terms without the other's consent, except to a successor in connection with a merger, restructuring or sale of substantially all relevant assets, subject to applicable law and appropriate protections.
Notices must be sent to the contact details recorded in the order form or account. Electronic acceptance and signatures may be used where legally valid.
